With offices in Barcelona and Madrid, we are currently looking for an Associate Legal Counsel who wants to join our team in Barcelona. You will act as the Legal department's operational engine, ensuring legal excellence and agility across all business units. You will translate legal queries into actionable solutions that protect Novicap's fintech operations, while ensuring they continue to scale upwards.

In order to achieve your mission, you will:

• Lead the drafting, negotiation, and execution of a wide range of commercial agreements, with a focus on financing contracts (factoring, confirming, credit assignment, guarantees and security/pledges) including cross-border transactions and contracts with international elements, as well as Commercial, Payments, Partnerships, and preliminary agreements such as non disclosure agreements, heads of terms or memorandums of understanding.

• Provide hands-on legal support to the Sales, Product, and Tech teams to ensure our innovations remain compliant within a regulated financial environment.

• Manage pre-litigious claims and client queries, formal litigation proceedings, and disputes with third parties. Provide robust procedural support and strategy for dispute resolutions.

• Support in managing board materials, minutes, and corporate secretarial tasks.

• Act as a mentor for our Legal Intern, overseeing their daily tasks and contributing to their professional growth.

You will report directly to the Legal Manager and work closely with other teams across Madrid and Barcelona. A young and dynamic team that's waiting for you with arms open!

• Are based in Barcelona;

• Are graduated and qualified as Spanish lawyer

• Have 2-5 years of experience in the financial sector, Fintech or Tier-1 Law Firms

• Have demonstrable experience in the use of LLMs (e.g. Gemini, Claude, ChatGPT) as part of daily workflows, with a focus on preserving critical thinking and quality assurance

• Are an expert in Corporate/Commercial Law and Banking and Finance

• Have a strong background in financing agreements: proven experience drafting and negotiating factoring, confirming, assignment of credits, guarantees, and security/pledges demonstrating comfort and capability in handling contracts with international elements or multi-jurisdictional scope

Bonus point if you have:

• A master's in Corporate Legal Advisory, Banking Law, Financial Law or equivalent

• Hands-on experience with LegalTech or contract automation software

• Previous background in Fintech (either in-house or as an external advisor)

• Procedural and litigation experience: demonstrable experience in dispute resolution and court proceedings, particularly related to debt recovery

• Full-time work with an open-ended contract
